Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Bidlync ("we," "our," or "us") governing your access to and use of the Bidlync platform, including the website, mobile applications, and all related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

You represent that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Bidlync is a software-as-a-service (SaaS) platform designed to help small businesses discover, evaluate, and pursue federal government contracts and grants. The Service provides:

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

We reserve the right to suspend or terminate your account at any time if we reasonably believe that you have violated these Terms, engaged in fraudulent or illegal activity, or if your account has been inactive for an extended period.

Bidlync offers multiple subscription tiers with varying features and pricing:

Paid subscriptions are billed monthly through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis. You may upgrade, downgrade, or cancel your subscription at any time through your Dashboard or the Stripe billing portal.

When you cancel a paid subscription, you will retain access to paid features until the end of your current billing period. We do not provide prorated refunds for partial billing periods. We reserve the right to change our pricing at any time, with at least 30 days' notice to existing subscribers.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

The Service and its original content (excluding user-generated content and government data), features, and functionality are owned by Bidlync and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

The Bidlync name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Bidlync. You may not use these marks without our prior written permission.

Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes in accordance with these Terms and your subscription plan.

Bidlync aggregates publicly available data from federal government sources, including SAM.gov (managed by the General Services Administration) and Grants.gov (managed by the Department of Health and Human Services). This data is provided "as is" from these government sources.

Government contract and grant data is in the public domain and is not subject to copyright protection under U.S. law. Our value-added features (search interface, analytics, AI analysis, etc.) are proprietary to Bidlync.

Bidlync uses artificial intelligence to provide features such as the AI Bid Assistant, eligibility assessments, news briefings, and blog content generation. You acknowledge and agree that:

The Service allows you to post comments and participate in discussions on contract opportunities. By posting content, you grant Bidlync a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content within the Service.

You retain ownership of your content and are solely responsible for the content you post. You represent that your content does not violate any third party's rights and complies with all applicable laws. We reserve the right to remove any content that violates these Terms or that we deem inappropriate, without prior notice.

You may edit or delete your own comments at any time. However, other users may have already seen or interacted with your content before deletion.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, that the results obtained from using the Service will be accurate or reliable, or that any errors in the Service will be corrected.

We do not guarantee that you will win any government contracts or grants by using the Service. Success in government contracting depends on many factors beyond the scope of our platform.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BIDLYNC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to defend, indemnify, and hold harmless Bidlync and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by contacting us or through your account settings. If you have an active paid subscription, cancellation of the subscription does not automatically delete your account. To request complete account deletion, please contact us at the email address below.

Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action.

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, please stop using the Service.
